Directors and officers insurance (D&O)
The policy that protects the personal assets of whoever runs the company.
The director of a company answers with their personal assets for management decisions: to shareholders, creditors, employees or the authorities. In investor-backed companies, D&O is usually required by the shareholders' agreement; in any company, it is the difference between a company problem and a personal one.
What it typically covers in the Spanish market
- 01The director's legal defence
- Lawyers and costs against claims over management acts, from the first notice.
- 02Management liability damages
- The losses a director or officer must pay for decisions taken in office.
- 03Company reimbursement
- When the company advances the officer's indemnity, the policy reimburses the company.
- 04Investigation and appearance costs
- Assistance in inspections and administrative investigations related to management.
What it normally does NOT cover
Fraud or wilful misconduct established by judgment.
Professional liability for the services the company provides to clients.
Fines and penalties that are uninsurable by law.
Personal profit or advantage to which there was no entitlement.
A client's claim over a poorly delivered service is not management: it is professional indemnity.
When a digital business needs it
- 01
An investor comes in and the shareholders' agreement requires D&O in force before signing.
- 02
The company goes through cash tension and the director is personally exposed if action is late.
- 03
The authorities pursue the director for tax or social-security debts of the company.
- 04
A dispute between shareholders ends in a liability action against whoever was managing.
